Welcome to Impactra AI ("Impactra," "we," "our," or "us"). By accessing or using our AI-powered services and platform (the "Service"), you agree to these Terms of Service ("Terms").

1. Who Can Use Impactra

You must be at least 18 years old and legally able to enter contracts. If you're using Impactra for a business, you represent that you have authority to bind that business to these Terms.

2. What We Do

Impactra provides AI-powered business automation tools, including but not limited to automated communications, data analysis, workflow optimization, and integrations with third-party platforms. Some features may be in beta and subject to change.

3. Your Account & Responsibilities

You're responsible for:

• Keeping your account information accurate and secure
• All activity that happens under your account
• Ensuring your use complies with applicable laws
• Obtaining necessary consents for any data you provide to our AI systems

We're not liable for unauthorized use of your account.

4. Subscription & Payments

• Billing: Paid plans are billed in advance on a recurring basis
• Fees: All fees are non-refundable unless required by law
• Price Changes: We may change pricing with 30 days' notice for new billing cycles
• Cancellation: You can cancel anytime through your account dashboard

5. Acceptable Use

You may not:

• Use our Service for illegal, harmful, or deceptive purposes
• Attempt to reverse engineer, hack, or disrupt our systems
• Upload malicious code or content that violates others' rights
• Resell or redistribute our Service without permission
• Use our AI to generate spam, harassment, or misleading content

Violations may result in immediate account termination.

6. Intellectual Property

Impactra owns all rights to our platform, AI models, and related technology. You retain ownership of your data, but grant us necessary rights to provide our Service (see our Privacy Policy for details).

7. Privacy & Data

Your privacy matters. Our Privacy Policy explains how we collect, use, and protect your information. By using Impactra, you agree to our data practices as described in that policy.

8. Service Availability

We strive for high availability but don't guarantee uninterrupted service. We're not liable for temporary outages, maintenance, or third-party service disruptions.

9. Disclaimers & Limitations

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.

We don't guarantee:

• AI accuracy or specific outcomes
• Compatibility with all third-party services
• That the Service meets your specific needs

Our liability is limited to the amount you paid us in the 12 months before the claim arose. We're not liable for indirect, incidental, or consequential damages.

10. Dispute Resolution

Binding Arbitration: Any disputes will be resolved through individual binding arbitration under AAA Commercial Rules, not in court. You waive any right to participate in class actions.

Exception: Either party may seek injunctive relief in court for intellectual property violations.

11. Indemnification

You agree to defend and hold us harmless from claims arising from your use of the Service, violation of these Terms, or violation of others' rights.

12. Changes & Termination

• Terms Updates: We may modify these Terms with notice. Continued use means acceptance
• Termination: Either party may terminate at any time. Upon termination, your right to use the Service ends immediately
• Survival: Sections covering payments, intellectual property, limitations, and dispute resolution survive termination

13. General Provisions

• Governing Law: Delaware law governs these Terms
• Severability: If any provision is unenforceable, the rest remains in effect
• Entire Agreement: These Terms (plus our Privacy Policy) constitute the complete agreement
• Force Majeure: We're not liable for delays caused by circumstances beyond our reasonable control
